("BizUp", "we", "us", or "our"), including our website, applications, and any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). BizUp provides AI-powered business management solutions, including but not limited to: • Customer Relationship Management (CRM) tools. • Invoicing and financial management applications. • AI-driven business automation and analytics. • Mobile and web-based business management platforms. We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

When you create an account with us, you must provide accurate, complete, and current information. You are responsible for: • Maintaining the confidentiality of your account credentials. • All activities that occur under your account. • Notifying us immediately of any unauthorized use of your account. You agree not to: • Use the Services for any unlawful purpose. • Attempt to gain unauthorized access to any part of the Services. • Interfere with or disrupt the integrity or performance of the Services. • Upload or transmit viruses, malware, or other harmful code. • Use the Services to infringe on the rights of others. • Reverse engineer, decompile, or disassemble any part of the Services.

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, icons, images, software, and underlying code, are the exclusive property of BizUp Dev Ltd. or its licensors and are protected by international copyright, trademark, patent, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes, subject to these Terms. You retain ownership of any data or content you upload to the Services. By uploading content, you grant us a limited license to use, store, and process such content solely for the purpose of providing the Services to you.

Certain features of the Services may require payment. By subscribing to a paid plan, you agree to: • Pay all applicable fees as described at the time of purchase. • Provide valid and current payment information. • Accept that fees are non-refundable except as expressly stated in these Terms or required by applicable law. We reserve the right to change our pricing at any time. Any price changes will take effect at the start of your next billing cycle, and we will provide reasonable advance notice.

To the fullest extent permitted by applicable law, BizUp Dev Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from: • Your access to or use of (or inability to access or use) the Services. • Any conduct or content of any third party on the Services. • Any content obtained from the Services. • Unauthorized access, use, or alteration of your transmissions or content. In no event shall our total liability exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.

You agree to indemnify, defend, and hold harmless BizUp Dev Ltd., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney fees, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any rights of another party.

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability. These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the competent courts located in Tel Aviv, Israel. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Services after revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, please stop using the Services.
